Changing Escrow Agents After Signing a Business Purchase Agreement

A business purchase agreement may name an escrow provider before that provider has accepted the file. If the parties later choose someone else, coordinate the change in the documents before sending the deposit.

A new name in an email does not answer every question about the appointment, existing funds, release conditions, or deadlines. Use a clear written record that the parties and both providers can follow.

Check the signed agreement and the current escrow status

Identify the named escrow holder, deposit amount, funding deadline, payment method, refund provisions, and closing responsibilities. Determine whether the original holder accepted the engagement and whether it already holds money or documents.

If nothing has been deposited, the change may focus on the appointment and initial instructions. If property is already held, obtain the original holder’s requirements for a lawful transfer and accounting. Do not assume the new holder can simply instruct the original holder to send the money.

Confirm that the replacement accepts the proposed scope

Ask the replacement provider to review the proposed escrow arrangement, identify its exact legal name, confirm fees and account arrangements, and state what it will receive and release. Distinguish holding the deposit from administering the final closing or a post-closing reserve.

If the replacement is an attorney, confirm the professional role. A neutral escrow appointment does not make the attorney counsel for buyer or seller. Any additional drafting, review, or representation requires appropriate separate arrangements.

Document the appointment and reconcile the instructions

Have the parties’ advisers address an amendment or other appropriate written agreement that identifies the replacement and its effective appointment. Coordinate that document with escrow instructions accepted by the replacement holder.

  • Name the original and replacement escrow holders accurately.
  • Identify the purchase agreement and amendments affected.
  • Confirm the deposit amount, due date, and any expressly agreed extension.
  • Address existing funds, documents, fees, and the original holder’s transfer requirements.
  • Confirm release and refund conditions, required authorizations, and dispute procedures.
  • Assign the final closing and accounting tasks.

Changing the holder should not silently change the parties’ bargain. If the new instructions differ on cancellation, deposit release, or other substantive rights, resolve that difference expressly before funding.

Keep the deadline and the banking process aligned

Allow time for engagement acceptance, identification, verified instructions, and bank processing. If the existing funding deadline cannot be met, request a written extension through the procedure the transaction documents require. An unanswered request is not an agreed extension.

Verify incoming wire instructions by calling a previously verified number. An email announcing a different escrow holder or bank account deserves independent confirmation. Provide identification and banking information through the designated secure process.

If the original holder already has the deposit

Identify the instructions and approvals required to transfer it, the balance being transferred, any agreed charges, the recipient, and the accounting each party will receive. The replacement should acknowledge actual receipt and identify any remaining funding shortfall. A sender’s transfer confirmation does not establish that the replacement has received funds available for disbursement.

If there are competing claims or a disagreement about the transfer, obtain advice on the governing documents and required process. The replacement appointment alone does not resolve entitlement to disputed funds.

Open the replacement escrow with a complete file

Provide the signed purchase agreement, amendments, accepted replacement appointment, relevant prior escrow documents, party contacts, deposit status, and proposed closing evidence. Use the Business Purchase Escrow Checklist to organize the file.
