What Transfers When You Buy a Small Business? Beyond Equipment and Inventory

The tables, tools, and inventory may be easy to see. The business phone number, booking system, online presence, and customer information can take more planning to transfer.

For an asset purchase, identify exactly what the seller is conveying and how the buyer will receive it. An ownership-interest purchase has a different structure and needs its own review. The transfer plan should follow the actual agreement, ownership facts, third-party terms, and applicable requirements.

Build an asset schedule that can be checked

List equipment, furniture, inventory, supplies, and other purchased property in enough detail to identify it. Note leased or financed items, exclusions, condition issues, and any final inventory count or price adjustment. A walkthrough is useful, but it should produce a written record of the agreed assets and exceptions.

Specify the bill of sale, assignment, delivery, title document, or other instrument needed for each category. Identify searches, payoff arrangements, and release evidence with the parties’ advisers rather than relying only on a general statement that the assets are free of liens.

Separate the business name, brand, and entity

Identify the seller’s legal entity, the trade name used with customers, logos, brand materials, domains, and any claimed intellectual-property rights. State what is included, what is excluded, and who will complete each assignment or filing.

A purchase of business assets does not by itself mean the buyer is acquiring the seller’s LLC. Do not treat a trade-name filing as an investigation of ownership or the full extent of brand rights. The Colorado Secretary of State’s trade-name FAQs explain the filing category; advisers should address the transaction’s ownership and intellectual-property questions separately.

Plan online accounts and telephone access early

  • Website and domain: Identify the registrant, registrar, hosting account, website content, email accounts, renewals, and transfer process.
  • Business profiles and social accounts: Check the platform’s ownership and access procedures, current administrators, restrictions, and timing.
  • Booking software: Address future appointments, customer notifications, subscriptions, exports, and permitted account changes.
  • Telephone number: Confirm the account owner, provider requirements, transfer authorization, and service continuity.
  • Payment processing: Ask the processor what the buyer must establish and how late settlements, refunds, and chargebacks will be handled.

For example, Google’s Business Profile guidance uses a primary-ownership transfer process and describes restrictions for newly added owners and managers. Check the current process before setting the handover date. Access to a login is not the same as completing the platform’s ownership procedure.

Handle customer information through a defined process

Identify which records are included and have advisers assess privacy obligations, contractual restrictions, required notices or consents, retention, and permitted disclosure. Use appropriately limited information during diligence and a secure process for any authorized closing transfer.

A customer list, appointment history, employee record, and regulated client record may raise different questions. Do not send the entire database through an ordinary escrow inquiry or treat a generic asset clause as permission for every disclosure.

Resolve ongoing obligations and practical handover

Address gift cards, prepaid services, subscriptions, customer deposits, contracts, warranties, leased equipment, and other commitments. State who performs the obligation, who receives any related funds, and whether an adjustment or reserve is required. Include keys, alarm codes, administrator permissions, and a plan to change credentials at the appropriate time.

Document lease consent and occupancy rights separately. If the seller will train the buyer, define the transition work and its limits.

Make the handover usable for escrow

For each required item, name the responsible person, transfer deadline, and evidence the escrow holder must receive. Decide how delayed platform access or another incomplete task affects closing, using express instructions rather than an assumption that the escrow agent will decide.

ColoradoTitle’s business sale escrow service can administer accepted funds and documents under written instructions. Technical account transfers, ownership investigations, and transfer-document preparation require an expressly agreed scope. Use the broader escrow preparation checklist for the rest of the closing file.
