Comprehensive Neutral Closing Service

Starting at $4,500

This service is intended for transactions in which the buyer and seller have reached the basic economic agreement and jointly want ColoradoTitle to administer and document the closing as a neutral professional.

Contract and Transaction Setup

  • Confirm the parties, property and agreed business terms
  • Prepare or complete the purchase agreement based on the parties’ agreement
  • Prepare customary addenda and written closing instructions
  • Identify deadlines, documents and third-party information required for closing

Escrow and Funds

  • Receive earnest money and other authorized funds in an appropriate fiduciary account
  • Provide deposit and accounting confirmations
  • Coordinate incoming wires and approved disbursements
  • Hold and release funds only under the written agreement, closing instructions and applicable law

Title and Payoff Coordination

  • Order or coordinate a title commitment from a licensed title-insurance provider when requested
  • Review the commitment and identify items requiring attention for closing
  • Coordinate payoff statements, releases and other closing requirements
  • Work with the lender and title insurer when financing or title insurance is involved

Closing Documents

  • Prepare the deed and customary transfer documents
  • Prepare the settlement or closing statement
  • Coordinate tax, association and other agreed prorations
  • Prepare customary seller affidavits and certifications
  • Coordinate Form 1099-S reporting when ColoradoTitle is the responsible reporting person

Signing, Recording and Disbursement

  • Disburse proceeds and other funds under the final closing statement and instructions
  • Provide the parties with the completed closing package and accounting

Neutral Closing Role and Independent Advice

In the neutral closing engagement, ColoradoTitle does not represent the buyer or the seller. The attorney does not negotiate for one side, recommend that one party accept terms against the other, or provide confidential individual advice.

Both parties may have the proposed contract and closing documents reviewed by independent counsel. If a disagreement requires advocacy, the parties may need separate attorneys. ColoradoTitle may pause document preparation, escrow release or closing activity until the parties provide joint written direction or the issue is otherwise resolved.

Separate Representation of a Buyer or Seller

A buyer or seller who wants individual legal advice may request a separate attorney-client engagement. Availability depends on conflicts, the roles already undertaken in the transaction, and how the escrow and closing functions will be handled. Representation of one party is distinct from serving as the neutral closing professional.

Title Insurance

ColoradoTitle is not a title-insurance company and does not issue title policies. When an owner’s or lender’s title policy is requested or required, ColoradoTitle coordinates with a licensed title-insurance provider. The title premium and title-company charges are separate from ColoradoTitle’s legal and closing fee.

Fees and Matters Outside the Standard Scope

The comprehensive neutral closing service starts at $4,500. The final fee depends on financing, title issues, entity or trust parties, unusual documents, multiple properties, commercial terms, accelerated deadlines and other complexity.

Unless specifically included in the engagement, the fee does not include:

  • Title-insurance premiums or title-company charges
  • Recording fees, transfer assessments, taxes or association charges
  • Surveys, inspections, appraisals or environmental reports
  • Lender and loan-document fees
  • Litigation, contested title work or curing significant title defects
  • Tax returns or tax opinions beyond customary closing reporting
  • Separate representation or negotiation for either party

Colorado Real Estate Closing FAQ

Do we still need real estate agents?

Not necessarily. If the buyer and seller have already found each other and agreed on the basic terms, a broker may not be needed to market the property or locate the other party. The parties should decide whether they want separate brokerage or legal advice for negotiation and valuation issues.

Does ColoradoTitle issue title insurance?

No. ColoradoTitle coordinates with a licensed title-insurance provider when a policy is requested or required.

Who does the attorney represent?

Under the comprehensive neutral closing engagement, neither party. Both parties receive written disclosure that the attorney is acting as a neutral closing professional rather than as the buyer’s or seller’s lawyer.

Can ColoradoTitle prepare the purchase agreement?

The neutral closing professional may document the terms jointly provided and approved by the parties. ColoradoTitle does not advise either party to accept terms adverse to the other. Either party may obtain independent legal review before signing.

What happens if the parties disagree?

ColoradoTitle will not decide a disputed legal or factual issue for the parties. Depending on the closing and escrow instructions, activity or funds may remain on hold until the parties provide joint written instructions, obtain independent advice, reach a written resolution, or secure an enforceable order.

Can ColoradoTitle represent only one side instead?

Potentially, under a separate written attorney-client engagement after conflict and role review. If ColoradoTitle represents one party, neutral escrow or closing functions may need to be arranged separately.
